These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Easy Invoices (“Company”, “we”, “us”, or “our”) governing your access to and use of our invoicing software and related services (collectively, the “Services”). Please read these Terms carefully before using the Services. By accessing, registering for, or using our Services, you agree to be bound by these Terms and all policies referenced herein.

If you do not agree to these Terms, you must not access or use the Services.

1. Description of Services

Easy Invoices provides an online software-as-a-service (SaaS) platform designed to assist users with generating, sending, and managing invoices, tracking payments, monitoring expenses, managing purchase orders, and related functions. Access to the Services is provided via our website and any associated applications or interfaces.

We reserve the right to modify, enhance, or discontinue features of the Services at our sole discretion, with or without notice.

2. Eligibility

You must be at least eighteen (18) years of age or the age of majority in your jurisdiction to use the Services. By agreeing to these Terms, you represent and warrant that:

You are legally authorized to enter into binding contracts;

All information you provide is accurate and current;

Your use of the Services will comply with all applicable laws and regulations.

3. Account Registration and Security

In order to access certain features of the Services, you must create an account. You agree to:

Provide truthful, complete, and updated registration information;

Maintain the confidentiality of your account credentials;

Accept responsibility for all activities conducted through your account.

We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to safeguard your credentials.

4. Fees, Payment Terms, and Billing

Certain Services may require payment of fees, which are detailed on our website or in any applicable order form. You authorize us or our third-party payment processors to charge your payment method for all applicable fees. All fees are due in advance unless otherwise agreed upon in writing.

Failure to pay applicable fees may result in suspension or termination of your access to the Services.

We reserve the right to revise our pricing structure and will provide you with reasonable notice of any fee changes.

5. Subscription Terms and Cancellation

Services are typically offered on a recurring subscription basis. Subscriptions are manually renewed at the end of each billing cycle unless canceled by the User prior to renewal.

You may cancel your subscription at any time via your account settings. Cancellation will be effective at the end of your current billing period; no refunds will be provided for any remaining portion of the subscription period unless otherwise required by applicable law.

6. User Content

You retain ownership of all invoices, data, and content (“User Content”) that you upload, submit, or create through the Services. However, by using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and process your User Content solely to provide and improve the Services.

You are solely responsible for the accuracy, legality, and quality of your User Content.

7. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which describes how we collect, use, and disclose your information. Your use of the Services constitutes your consent to the practices described in our Privacy Policy.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

Violating any applicable law or regulation;

Infringing upon or misappropriating the intellectual property rights of others;

Attempting to interfere with or compromise the integrity or security of our systems;

Misrepresenting your identity or affiliation;

Using the Services to distribute malware, spam, or other harmful content.

9. Intellectual Property Rights

All intellectual property rights in and to the Services (excluding User Content) are owned by or licensed to Easy Invoices. This includes but is not limited to the software, interface design, text, graphics, logos, and underlying technology.

Except as expressly authorized by these Terms, you may not copy, modify, distribute, sell, or lease any part of the Services.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure, but make every effort to ensure compliance is upheld to the most stringest standards. 

11. Limitation of Liability

To the fullest extent permitted by law, Easy Invoices shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenues, data, goodwill, or other intangible losses, resulting from:

Your access to or use of (or inability to access or use) the Services;

Unauthorized access, use, or alteration of your transmissions or content.

In no event shall our total liability exceed the amount you have paid to Easy Invoices for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Easy Invoices, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with:

Your use of the Services;

Your breach or violation of these Terms;

Your violation of any third-party rights.

13. Suspension and Termination

We may suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms, engage in illegal activities, or otherwise act in a manner that may harm Easy Invoices or its users.

Upon termination, your right to use the Services will immediately cease.

13.1 Fair Use & Data Storage

Fair Use of Storage

Our service includes reasonable data storage for invoices, quotes, attachments, and related records in line with normal business use. Excessive, abnormal, or abusive storage usage – including but not limited to the repeated upload of large files, non-business content, or data unrelated to invoicing – may be considered a breach of our Fair Use Policy.

We reserve the right to monitor storage usage and, where usage exceeds reasonable limits, to take appropriate action. This may include requesting the removal of data, restricting access to certain features, suspending the account, or terminating the service, with or without prior notice, depending on the severity of the breach.

We may also introduce storage limits or additional charges for usage beyond reasonable or advertised allowances.

13.2 Abuse of System

The service must not be used in a manner that is excessive, disruptive, or abusive. This includes, but is not limited to, sending unusually high volumes of emails such as repeated invoice reminders, bulk communications, or automated notifications that exceed normal business use, result in spam complaints, or negatively affect email deliverability.

We reserve the right to monitor usage and, where abusive behaviour is identified, to limit, throttle, suspend, or disable email sending or account access. Such action may be taken with or without prior notice depending on the severity and impact on the platform, other users, or third-party service providers.

14. Changes to the Terms

We reserve the right to amend these Terms at any time. When we do, we will update the “Effective Date” and may notify you through the Services or via email. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the changes.

15. Governing Law and Dispute Resolution

These Terms and any action related thereto shall be governed by the laws of Florida, without regard to its conflict of laws principles.

Any disputes arising out of or related to these Terms or the Services shall be resolved exclusively in the courts located in [Florida, United States], and you consent to the personal jurisdiction of such courts.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by Easy Invoices, constitute the entire agreement between you and Easy Invoices concerning your use of the Services.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
